Welcome to Life Shop! These Terms and Conditions govern your use of our E-commerce platform as a Vendor (Seller) or Client (Buyer). By accessing or using our platform, you agree to comply with these terms.

1. Definitions

• “Platform” refers to the Life Shop website and associated services.
• “Vendor” refers to any business or individual selling products on Life Shop.
• “Client” refers to any individual or business purchasing products on Life Shop.
• “Order” refers to a transaction between a Vendor and a Client.
• “Warehouse Model” refers to Life Shop’s inventory management system, where products are stored in our warehouse for fulfillment.

2. Vendor Terms

2.1 Vendor Registration & Account

• Vendors must provide accurate business information, including KRA PIN, business permits, and bank details.
• Each Vendor is responsible for maintaining the confidentiality of their account credentials.
• Life Shop reserves the right to approve or reject Vendor applications.

2.2 Product Listing & Pricing

• Vendors must ensure accurate product descriptions, pricing, and stock availability.
• All prices must be inclusive of applicable taxes as per Kenyan regulations.
• Life Shop reserves the right to moderate and remove misleading or prohibited product listings.

2.3 Inventory & Warehousing

• Vendors may store products in Life Shop’s warehouse for faster order fulfillment.
• Warehoused products must meet quality and safety standards.
• Unsold inventory beyond 90 days may incur storage fees or be returned at the Vendor’s cost.

2.4 Order Fulfillment & Delivery

• Life Shop manages order processing, packaging, and delivery through our logistics partners.
• Vendors are responsible for timely restocking to avoid order cancellations.
• Any defective or substandard products will result in returns, penalties, or account suspension.

2.5 Payments & Commission

• Life Shop charges a 10% commission per sale.
• Payments are disbursed 7 days after order delivery, minus commissions and applicable fees.
• Any disputes regarding payments must be raised within 7 days of payment processing.

2.6 Returns & Refunds

• Clients may return products within 14 days if defective, damaged, or misrepresented.
• Vendors are responsible for handling returns due to product defects.
• Refunds will be processed based on Life Shop’s return policy.

2.7 Prohibited Items & Conduct

• Vendors must not list counterfeit, illegal, or restricted products (e.g., firearms, controlled substances).
• Engaging in fraudulent activities, fake orders, or manipulation of ratings will lead to immediate termination.

3. Client Terms

3.1 Account & Usage

• Clients must provide accurate shipping and contact details for order fulfillment.
• Clients are responsible for maintaining their account security.

3.2 Ordering & Payments

• Orders are confirmed once payment is successfully processed via M-Pesa, card, or bank transfer.
• Life Shop reserves the right to cancel fraudulent or suspicious transactions.

3.3 Delivery & Shipping

• Standard delivery times range from 1 to 5 business days based on location.
• Clients must inspect products upon delivery and report any issues within 24 hours.

3.4 Returns & Refunds

• Eligible returns must be initiated within 14 days of receiving the product.
• Refunds are processed within 7 days, subject to product inspection.

3.5 Product Warranty & Liability

• Some products may have manufacturer warranties, which will be honored as per the provided terms.
• Life Shop is not liable for product misuse or damages after delivery.

4. General Terms

4.1 Intellectual Property

• Vendors grant Life Shop a non-exclusive right to use product images and descriptions for marketing.
• Clients and Vendors must not reproduce, distribute, or misuse Life Shop’s content.

4.2 Dispute Resolution

• Any disputes shall first be resolved through mediation. If unresolved, they will be settled under Kenyan law.

4.3 Termination & Suspension

• Life Shop reserves the right to suspend or terminate accounts violating these terms.

5. Privacy and Data Protection

• Life Shop complies with the Data Protection Act of Kenya.
• User data is collected, processed, and stored in accordance with our Privacy Policy.
• We implement appropriate security measures to protect personal information.
